(the “Company”). These Terms of Use set forth the terms and conditions under which you may access and use the Website, whether or not you have registered for an account on the Website. If you do not agree to these Terms of Use, you may not use this Website.

The Company may, in its sole discretion and at any time, modify these Terms of Use, in whole or in part, by posting such modifications on the Website. Your continued use of the Website following the posting of changes will operate as an acknowledgement of your acceptance of the then current Terms of Use. The Terms of Use will include the date the Company last updated the Terms of Use.

Use Of The Website

Use of this Website is limited to users that are at least 18 years of age or older. By using the Website, you represent, warrant and covenant that you are at least 18 years of age or older. You agree and acknowledge that the Website and the content, including, but not limited to, graphics, text, video, and the like, including any third party content, and other information provided on the Website (the “Website Content”), is the sole and exclusive intellectual property of the Company or is licensed by the Company for use on the Website and other than certain User Contribution described below, the Website Content shall not be copied, reproduced, displayed, used, sold or otherwise distributed or modified without the express prior written consent of the Company or its licensors. The Company reserves the right to temporarily disable or permanently discontinue any and all functionality or your use of the Website, including the provision of any and all Website Content, at any time without notice and with no liability to you. If you fail to comply with any provision of these Terms of Use, any rights granted to you herein will automatically terminate. In the event of such termination, you must immediately cease use of the Website.

All purchases through the Website or other transactions for the sale of goods formed through the Website or as a result of visits made by you to the Website are governed by the Company’s Terms of Sale that accompany the goods, which terms are hereby incorporated into these Terms of Use.

Accounts and Passwords

When creating an account, you will be required to provide your name, the name of the educational institution you are associated with, phone number, email address, and/or mailing address. For your protection, when creating an account with the Website, a password will be associated with your account. You are responsible for taking all reasonable steps to ensure that no unauthorized person has access to your Website password. It is your sole responsibility to (a) control the dissemination and use of activation codes and passwords; (b) authorize, monitor, and control access to and use of your Website password; and (c) promptly inform the Company of any need to deactivate a password or unauthorized use of your account. The Company will not be liable for any of your losses caused by any unauthorized use of your account, however, you may be liable for any losses of the Company or others based on such unauthorized use.

User Contributions

The Website may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards and other interactive features (e.g., Teacher’s Corner, Share your Ideas) (collectively, "Interactive Services") that allow you to upload, post, submit, publish, display or transmit to other users (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Website. When posting photographs, such photographs must be uploaded in .jpg, .jpeg, .png, or .gif format any not exceed a size of 2 MB.

In order to submit a User Contribution, you must be at least 18 years of age and be affiliated with an educational organization such as a School District, Board of Education, County Office of Education, Elementary School, Middle School, High School, Academy, Learning Center, Preschool or Nursery School . By posting materials to the Website, you are representing that you meet the above listed criteria.

All User Contributions must comply with the Content Standards set out in these Terms of Use.

Any User Contribution you post to the Website will be considered non-confidential and non-proprietary. Although you will continue to retain all ownership rights in any User Contribution, you hereby grant to the Company a worldwide, non-exclusive, perpetual, royalty-free, irrevocable, transferable and sub-licensable right and license to use, copy, modify, create derivative works, include in compilations, create adaptations, distribute, publish, reproduce, and disclose to third parties any such User Contributions for any purpose, including in promotional materials and advertisements in any media format and through any media channel, including via the Website and the Company’s blog or social media (e.g., Facebook) page.

You represent and warrant that you own or control all rights in and to the User Contributions you post and have the right to grant to the Company, its affiliates and the users of the Website the licenses granted herein.

You represent and warrant that all of your User Contributions do and will comply with these Terms of Use, and you agree to defend, indemnify and hold harmless the Company and its affiliates and licensors for any breach of that representation and warranty.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have fully responsibility for such content, including its legality, reliability, accuracy and appropriateness.

Any content and/or opinions uploaded, expressed or submitted to the Website, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity submitting them and do not necessarily reflect the opinion of the Company or its principles, employees or affiliates. Content Standards

These “Content Standards” apply to any and all User Contributions and Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

Monitoring and Enforcement

  • Disclose your identity to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.

Termination

The Company will terminate your Account and/or limit your use of the Website if the Company determines, under appropriate circumstances, that you are a repeat infringer.

The Company, in its sole discretion, will determine whether any User Contributions violate these Terms of Use including the Content Standards. The Company, may, at any time, without prior notice and in its sole discretion, remove such User Contributions and/or terminate your account for submitting User Contributions in violation of these Terms of Use. However, the Company does not undertake to review all material before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, the Company assumes no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. The Company shall have no liability or responsibility to anyone for performance or nonperformance of the activities described in this paragraph.

Jurisdictional Disclaimer

The Company intends that the Website will be viewed by U.S. persons. This should not be viewed as a solicitation or offer of services in any jurisdiction in which the Company is not qualified to do business.It is provided for informational purposes only.

FALL 2014 FASTENER CREATIVITY CONTEST

Fasteners4Schools.com (the “Website”) is offering a contest for eligible persons to win the prize for the most creative submission which uses fasteners sold through the website (the “Fall 2014 Fastener Creativity Contest” or “Contest”).  Submissions shall be judged by a panel of judges at FASTENation, Inc. (“Sponsor”) based solely on creativity and originality.  No purchase is necessary to participate, and a person entering the contest may submit only one submission for consideration.  The winner of the Contest shall receive a $200 credit for use for purchases on the Website.  This contest is subject to the terms and conditions set forth below.  

 No Purchase Necessary to Enter or Win a Prize. A Purchase will not improve your Chances of Winning. Void where prohibited or otherwise restricted by law.

 Eligibility: The Contest is open only to persons who, as of date of entry, are legal residents of one of the fifty (50) United States or the District of Columbia, at least 18 years of age or older (19 years of age or older in Alabama and Nebraska) at the time of entry. Employees, retirees, and agents of FASTENation (including their families and persons living in their households), and each of their distributors, wholesalers and retailers, and members of such employees’ immediate families and individuals living in the same household with such employees, are not eligible to enter or win. For purposes of this Promotion, “immediate family members” means parents, spouses, children, siblings, in-laws, or grandparents.

How and When to Enter: Contest begins at 9 am EST on November 3, 2014 and ends at        12 am EST on January 9, 2015 (“Promotion Period”).  Only one entry per person.  

Fasteners4Schools.com Method of Entry:  To enter the Contest during the Promotion Period, (1) visit http://www.fasteners4schools.com/shareideas. (2) Submit a photo of a creative fall craft idea using fasteners (VELCRO® Brand fasteners, 3M™, Glue Dots International, or any other fasteners or products) available on www.fasteners4schools.com (“Fasteners”). Ideas can range from Halloween costumes to Thanksgiving crafts or any other fall craft idea.  Enter “Fall Fastener Creativity Challenge” in the title field (“Submission”). Submission must be of your own original content, indicating your craft or costume.   If the photograph includes individuals, such individuals must be 18 years of age or older and have provided permission to the entrant to use the photograph as a Submission. Limit: One (1) Entry per person or email address for the duration of the Promotion Period. All Entries must be received by 12 am EST on January 9, 2015.

User Submission

You must not submit or transmit through the Website any material, or otherwise engage in any conduct that:

  • contains viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or otherwise permit the unauthorized use of a computer or computer network;
  • involves or results in reverse-engineering, decompiling, disassembling, or otherwise tampering with any of the components of the Website; or
  • violates this Terms of Use or interferes with the use of this Website by others.

Content Standards

These “Content Standards” apply to any and all User Submissions and Interactive Services. User Submissions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Submissions must not:

 Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.

  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
  • Infringe any patent, trademark, trade secret, copyright or other intellectual property rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and the Website’s Privacy Policy.
  • Include any images of minors under any circumstance or images of any adult without such adult’s explicit permission.
  • Be likely to deceive any person.
  • Promote any illegal activity, or advocate, promote or assist any unlawful act.
  • Be used to impersonate any person, or to misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising.
  • Give the impression that they emanate from the Company or any other person or entity, if this is not the case.

Entrant agrees that Sponsor shall not have any liability to entrant for any direct, indirect, contributory, vicarious, secondary or other infringement or protection of any copyright in or to entrant’s Submission. Sponsor has the right to review all Submissions and all Submissions may be posted on the Fasteners4Schools Facebook Page at www.facebook.com/fasteners4schools, as well as related company websites and social media pages at Sponsor’s sole discretion. No Submissions will be returned. By making a Submission, entrant hereby grants permission for the Submission to be posted on the Website or other Sponsor websites and otherwise used by Sponsor in accordance with the grant of rights set forth above. Entrant agrees that Sponsor is not responsible for any unauthorized use of Submissions by third parties. Sponsor does not guarantee the posting of any Submission and may cease display of any Submission for any reason at any time. E-mail information collected may be used for promotional marketing specifically and only as it relates to Sponsor offers. All personal information submitted will be kept confidential and secure.

Determination of Winner:  The winner will be selected by a panel of judges who will review all entry photos; then select the winner based on overall creative use of “Fasteners” found on www.fasteners4schools.com.  Final selection of the winner is at the sole discretion of the judges.

 Prize: Prize is a $200 credit to use toward purchases on www.fasteners4schools.com, excluding freight (“Prize”).  Credit is valid for 1 year and expires 12 months after receipt by the winner.  Sponsor is not responsible for any postponements or cancellations associated with any prize element. Total Prize Structure Approximate Retail Value (“ARV”): $200.00.

 Winner Selection:  Winner must meet all eligibility requirements. In the event that the Winner is deemed ineligible, or is not available to claim prize during specified dates, then an alternate winner will be selected from eligible Entries received, time permitting.  One Winner will be selected on or about January 16, 2015.  The winner will be notified via e-mail address or phone number on or by January 20th and will receive an Affidavit of Eligibility, Publicity/Liability/Indemnification release via mail or email within five (5) days of notification. Winner must meet all eligibility requirements and sign an Affidavit of Eligibility, Publicity, Liability and Indemnification Release, each of which must be completed, signed and returned within seven (7) days from date of issuance, or the Prize will be forfeited and may be awarded to an alternate winner, time permitting. By accepting the Prize, Winner acknowledges compliance with these Official Rules.  The Winner’s name may be posted on Sponsors Facebook page, on or about January 26, 2015.

 Other Conditions: All federal, state and local laws and regulations apply. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend this Contest or any portion hereof, or to disqualify any individual implicated in any of the following actions, if for any reason: (a) infection by computer virus, bugs, tampering, unauthorized intervention, actions by Entrants, fraud, technical failures, or any other causes, in Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Contest; (b) the Contest or any website associated therewith (or any portion thereof) becomes corrupted or does not allow the proper processing of Entries per these Rules; or (c) the Contest is otherwise not capable of running as planned. By entering, Entrants agree to release and hold harmless Sponsor, and its parents, subsidiaries, affiliates, divisions, advertising and promotional agencies, wholesalers and retailers, contractors, sub-contractors, and each of the foregoing entities’ employees, officers, directors, shareholders and agents and Facebook (collectively, the “Released Parties”), from and against any and all claims, actions and/or liability for any injuries or death, loss or damage of any kind arising from or in connection with participation in and/or Entry into the Contest or acceptance, delivery, or use of any Prize, including, without limitation, the Prize. The Released Parties are not responsible or liable for any incorrect or inaccurate Entry information, and assume no responsibility for (i) any error, omission, interruption, defect or delay in operation or transmission at any website, (ii) failure of any Entry to be received by Sponsor due to technical problems, human error or traffic congestion on the Internet or at any website, (iii) communications line, hardware and/or software failures, (iv) damage to any computer (software or hardware) resulting from participation in the Contest, (v) theft or destruction of, tampering with, unauthorized access to, or alteration of Entries and/or Entry information, or (vi) Entries which are late, lost, stolen, damaged, illegible and/or unintelligible (or any combination thereof). By entering, Entrants agree to comply with these Official Rules. Any Entrant who attempts to tamper with this Contest in any way shall be disqualified. Sponsor reserves the right, in its sole discretion, to modify or terminate this Contest in the event of any act, occurrence, or reason it believes would corrupt the integrity, administration or fairness of the Contest.  Additional restrictions may apply.
